Terms of Service

The rules that apply when your business subscribes to and uses Dinivoo.

Effective date: 27 September 2026

1. About these Terms

These Terms of Service (the “Terms”) govern access to Dinivoo’s websites, restaurant management platform, applications and related services (together, the “Services”). Dinivoo is operated by SHAYDX LLC (“Dinivoo”, “we”, “us” or “our”). By creating an account, starting a subscription or using the Services, you confirm that you have authority to bind the business you represent and agree to these Terms.

2. Accounts and authorised users

  • You must provide accurate, current information and keep it updated.
  • You are responsible for safeguarding login credentials and all activity under your account.
  • You must promptly notify us if you suspect unauthorised access or a security incident.
  • You may give staff access only as required for your business and must manage their permissions appropriately.

3. Subscriptions, billing and automatic renewal

Plans are billed monthly or yearly in advance, as selected at checkout, and renew automatically for the same billing period until cancelled. You authorise Dinivoo and its payment provider to charge the payment method on file for subscription fees, applicable taxes and approved plan changes.

Prices are shown before checkout. UAE VAT and any other legally required taxes are added where applicable. We may change future subscription prices by giving reasonable advance notice. A price change applies from a later renewal date, not retrospectively.

4. Cancellation and no-refund policy

All subscription payments are final and non-refundable once payment has been successfully completed.

You may cancel at any time through the billing portal or by contacting us. Cancellation stops the next renewal; it does not reverse or refund the current paid billing period. You retain access until the end of that period, unless access is suspended for a breach of these Terms. We do not provide refunds or credits for unused time, partial periods, plan downgrades, lack of use or accidental renewal. This policy does not limit any refund or remedy that cannot lawfully be excluded under applicable law.

5. Acceptable use

You must not misuse the Services, attempt unauthorised access, interfere with availability, upload malicious code, reverse engineer protected components, evade plan limits, violate another person’s rights, or use the Services for unlawful, fraudulent or misleading activity. You are responsible for ensuring that your menus, prices, taxes, promotions, customer communications and restaurant operations comply with applicable law.

6. Restaurant and customer data

You retain ownership of data you submit to the Services. You grant us the limited rights needed to host, process, secure, back up and display that data to provide and improve the Services. You confirm that you have a lawful basis to collect and provide customer, employee and business data and that your instructions to us comply with law. Our handling of personal data is described in the Privacy Notice.

7. Third-party services

The Services may connect with third parties such as Stripe, delivery providers or other integrations. Their own terms and privacy practices apply to their services. Payment card information entered in Stripe Checkout is processed by Stripe and is not stored by Dinivoo. We are not responsible for independent third-party services, outages or decisions outside our reasonable control.

8. Service availability and changes

We work to keep Dinivoo reliable and secure, but do not guarantee uninterrupted or error-free operation. We may perform maintenance, modify features or discontinue a feature where reasonably necessary. We will use reasonable efforts to give advance notice of a material change that significantly reduces core paid functionality.

9. Intellectual property

Dinivoo and its licensors own the Services, software, designs, documentation, trademarks and other platform materials. Your subscription gives you a limited, non-exclusive, non-transferable right to use the Services for your internal restaurant operations during an active subscription. No ownership rights are transferred to you.

10. Suspension and termination

We may restrict or suspend access when payment is overdue or fails, when use creates a security or legal risk, or when these Terms are materially breached. We will restore access after the underlying issue is resolved where appropriate. We do not delete restaurant data merely because a subscription expires, but retention is subject to our Privacy Notice, operational requirements and applicable law.

11. Disclaimers and liability

To the fullest extent permitted by law, the Services are provided “as available”. Dinivoo does not provide legal, tax or accounting advice and you remain responsible for verifying filings, rates and business decisions. Neither party is liable for indirect, incidental, special or consequential loss. Dinivoo’s aggregate liability arising from the Services will not exceed the subscription fees paid by you to Dinivoo during the 12 months before the event giving rise to the claim, except where liability cannot legally be limited.

12. Governing law and changes

These Terms are governed by the laws of the United Arab Emirates. The courts of Dubai, UAE have exclusive jurisdiction, subject to any mandatory law that requires otherwise.

We may update these Terms to reflect legal, security or product changes. We will publish the revised date and, for material changes, provide reasonable notice. Continued use after the change becomes effective constitutes acceptance of the updated Terms.
